Terms of Service

1. Acceptance of Terms
By purchasing from or accessing SOPkits, a brand of RDP Ventures LLC ("we," "us," or "our"), you agree to be bound by these Terms of Service. If you do not agree to these terms, do not use this site or make any purchases. These terms apply to all products sold on this website, including individual industry kits, Launch Packs, and The Vault subscription.
2. Products & Digital Delivery
All SOPkits products are digital goods delivered electronically. Upon completing a purchase, you will receive an email with access to your documents. Individual kits and Launch Packs are delivered as downloadable files. Vault subscribers receive access to all available industry kits for the duration of their active subscription. We are not responsible for delivery failures caused by incorrect email addresses or spam filters — please check your spam folder and contact us if you do not receive your files within 30 minutes of purchase.
3. License & Permitted Use
When you purchase a SOPkits product, you receive a limited, non-exclusive, non-transferable license to use the documents for your own business operations. You may customize and adapt the templates for your internal business use. You may not: (a) resell, redistribute, or sublicense any SOPkits document or kit; (b) represent the documents as your own original work for commercial resale; (c) upload or share documents to any publicly accessible platform, course, or product that you sell to others; or (d) use the documents to create a competing product or service.
4. Refund Policy
Individual kit and Launch Pack purchases are covered by a 30-day satisfaction guarantee. If you review your kit and cannot identify at least 5 things you can implement in your first week, email us at hello@sopkits.com within 30 days of purchase and we will issue a full refund — no questions asked. Refund requests must reference a specific purchase and be sent from the email address used at checkout. Technical issues preventing access to your purchase will be resolved or credited within 7 days of reporting. Vault subscriptions may be cancelled at any time — you retain access through the end of your current billing period and will not be charged again. No partial refunds are issued for unused subscription time.
5. Subscription Terms (The Vault)
The Vault is a recurring subscription billed monthly or annually. By subscribing, you authorize us to charge your payment method on a recurring basis until you cancel. You may cancel at any time through the billing portal or by emailing hello@sopkits.com. Cancellation takes effect at the end of the current billing cycle. We reserve the right to change subscription pricing with 30 days' notice — continued use after a price change constitutes acceptance.
6. Intellectual Property
All SOPkits content — including but not limited to document templates, scripts, checklists, frameworks, marketing copy, and website content — is the proprietary intellectual property of SOPkits. Nothing in your purchase transfers any ownership rights to you. The SOPkits name, logo, and brand identity are trademarks of RDP Ventures LLC and may not be used without written permission.
7. Disclaimer of Warranties
SOPkits products are provided "as is" without warranties of any kind, express or implied. We do not guarantee that the documents will produce specific business outcomes, revenue increases, or legal compliance in your jurisdiction. The documents are templates and starting points — they do not constitute legal, financial, HR, or professional advice. You are solely responsible for reviewing, customizing, and applying any documents to your specific business situation. Consult a licensed professional for legal or financial matters.
8. Limitation of Liability
To the maximum extent permitted by law, RDP Ventures LLC and its owners, employees, and contractors shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of our products or services — including but not limited to lost profits, lost data, or business losses. Our total liability to you for any claim shall not exceed the amount you paid for the product giving rise to the claim in the 12 months preceding the claim.
9. Governing Law
These Terms are governed by the laws of the State of Utah, without regard to its conflict of law provisions. Any disputes arising from these Terms or your use of SOPkits shall be resolved through binding arbitration in Salt Lake County, Utah, except where prohibited by law. You waive any right to participate in a class action lawsuit against SOPkits.
10. Changes to These Terms
We reserve the right to update these Terms at any time. Changes will be posted on this page with an updated effective date. Continued use of the site or our products after changes are posted constitutes acceptance of the revised Terms. For material changes, we will provide notice via email to active subscribers.
